Access to and use of the www.zerosquare.fund website (the “Site”) and the materials found on it (the “Content”), including the investment products referred to on it (the “Investment Products”) are subject to the following terms and conditions (these “Terms”).

The offer of these Investment Products is only allowed to be made to “accredited investors” within the meaning of this term under Section 4A of the Securities and Futures Act 2001 of Singapore (the “SFA”).

Accredited investors are assumed to be better informed, and better able to access resources to protect their own interests, and therefore require less regulatory protection. Investors who agree to be treated as accredited investors therefore forgo the benefit of certain regulatory safeguards. 1. Accredited Investor

An accredited investor (as defined under section 4A of the SFA) is:

(i)         an individual (1) whose net personal assets exceed $2 million (or its equivalent in value in any foreign currency); (2) whose financial assets (net of any related liabilities) exceed in value $1 million (or its equivalent in a foreign currency); or (3) whose income in the preceding 12 months is not less than $300,000 (or its equivalent in value in any foreign currency);

(ii)        a corporation with net assets exceeding $10 million in value (or its equivalent in value in any foreign currency), as determined by its most recent audited balance sheet or, in the case of a corporation which is not required to prepare audited accounts regularly, a balance sheet of the corporation certified by it to give a true and fair view of the state of affairs of the corporation as of the date of the balance sheet, which date shall be within the preceding 12 months;

(iii)       a trust of which (1) all the beneficiaries are accredited investors; (2) all the settlors of which are accredited investors, have reserved to themselves all powers of investment and asset management functions under the trust and have reserved to themselves the power to revoke the trust; and (3) any trust the subject matter of which exceeds $10 million in value (or its equivalent in foreign currency);

(iv)       an entity (other than a corporation) with net assets exceeding $10 million in value (or its equivalent in foreign currency);

(v)        a partnership (other than a limited liability partnership) in which every partner is an accredited investor;

(vi)       a corporation, the entire share capital is owned by one or more persons, who are all accredited investors; or

(vii)      a person who holds a joint account with an accredited investor, in respect of dealings with that accredited investor.
